The law firm Bulboacă & Asociații assisted the German company Armstrong Fluid Technology GmbH, part of the international Armstrong Group, in connection with the acquisition of the Romanian company Richard Halm SRL. Following the acquisition, the Romanian company will operate under the name Armstrong Fluid Technology Romania SRL.
The Armstrong Group is a major and innovative leader in the design, engineering, and manufacturing of intelligent fluid flow equipment used in integrated heating and cooling systems, plumbing and water supply installations, and fire safety solutions.
Armstrong Fluid Technology Romania SRL will continue the Armstrong Group’s activity, specifically the production and storage of recirculation pumps at a facility located in Jimbolia, Timiș County.
The transaction documents were signed at the end of 2019, and the acquisition was finalized at the end of November 2020, following a complex integration process that also involved relocating the pump production operations from Hungary to Romania.
The legal assistance provided by Bulboacă & Asociații covered all stages of the share acquisition, including conducting a legal due diligence of the target company, negotiating and drafting the transaction documents, as well as assisting with the signing and closing of the transaction and completing all required registration formalities.
